The “Maseca Pays Your Bill” Giveaway ("Giveaway" or “Promotion”) will begin at 12:00:01 a.m. Eastern Standard Time ("EST") on March 15, 2012 and end at 11:59:59 p.m. EST on April 30, 2012 ("Promotion Period"). Participation in the Giveaway constitutes entrant’s full and unconditional agreement to these Official Rules, and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Giveaway. The Promotion is sponsored by Azteca Milling, L.P., 1159 Cottonwood Lane, Suite 130, Irving, Texas 75038 ("Sponsor”). The Sponsor is responsible for all aspects of this Promotion.

Eligibility: Participants must be legal residents of the states of California (CA), District of Columbia (D.C.), North Carolina (NC), New Jersey (NJ), New York (NY), or Texas (TX), who are at least 18 years of age and in their state of residence at the time of entry. Employees, officers and representatives of Sponsor and Administrator, and any of their respective parent companies, affiliates, franchisees, licensees, distributors, suppliers, subsidiaries, retailers, advertising/promotion agencies (collectively, “Released Parties”) and members of the immediate family (mother, father, brothers, sisters, sons, daughters and spouse, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to participate. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void where prohibited or restricted by law.

Two Ways to Enter: 1.) During the Promotion Period, eligible participants can enter the Giveaway by going to any participating store location and purchasing a Maseca product. The Maseca Prize Patrol team composed of (x) representatives of Sponsor (?) will be visiting randomly pre-selected store locations. These representatives will look for people who are in the checkout lanes with a Maseca product in their cart or basket. Once the Maseca Prize Patrol team locates a customer who is purchasing a Maseca product, the representatives may choose to award the customer with a gift card for the value of the customers total grocery bill (not to exceed $300) for that visit and day only.
2.) The Sponsor will also be placing Point of Sale (“POS”) tear pads in each aisle where Maseca products are shelved in all participating store locations. To be eligible for the Giveaway without purchase, participants will have the option to take a tear sheet with them to checkout. Tear sheets do not have to be submitted to a cashier or any other store staff member. However, the tear sheet must be visible in the shopper’s cart, hand, or on the grocery belt in order to be eligible to win a prize. Once the Maseca Prize Patrol team locates a customer who has obtained a valid Maseca tear sheet, the representatives may choose to award the customer with a gift card for the value of the customers total grocery bill (not to exceed $300) for that visit and day only.

Prizes: There will be a total of 544 prizes awarded throughout the Promotion. Each prize winner will receive a gift card to purchase the groceries in their cart (not to exceed $300 per winner) for that visit and day only. By accepting the prize, the prize winner agrees to release the Released Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the promotion or for damages of any kind caused by any prize or resulting from acceptance, possession, or use/misuse of prize awarded. All other expenses, including, but not limited to taxes, not specifically mentioned herein are the responsibility of the prize winner. Prizes are not exchangeable, transferable, or redeemable for cash. There are no substitutions unless specified by the Sponsor. The Sponsor reserves the right at its sole discretion to substitute any prize package with another prize of equal or greater value.

Disputes: By entering the Giveaway, entrants agree that 1.) Any and all disputes, claims, and causes of action arising out of or connected with the Giveaway, or any prizes awarded, shall be resolved individually, without resort to any form of class action against Sponsor; 2.) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Giveaway but in no event attorneys' fees against Sponsor; and 3.) Under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased against Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Sponsor or the Released Parties in connection with the Giveaway, shall be governed by, and construed in accordance with the laws of the State of Texas. Any legal proceedings arising out of this Giveaway or relating to these Official Rules shall be instituted only in the federal or state courts of Texas, and the parties consent to jurisdiction in Dallas, Texas with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The value of the prizes set forth above represents Sponsor’s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed. If the actual value of any prize turns out to be less than the stated ARV, the difference will not be awarded in cash.
